Terms of Service

Welcome to Pastok! These Terms of Service ("Terms") govern your use of the Pastok platform, including our website at pastok.com, any associated applications (web, desktop, or mobile), and other services we provide (collectively, the "Service").

These Terms form a legally binding contract between you and Agave Tech PTE. LTD. ("Pastok," "we," "our," or "us".)

PLEASE READ THESE TERMS CAREFULLY.

YOUR USE OF THE SERVICE CONSTITUTES YOUR AGREEMENT TO BE BOUND BY THESE TERMS.

1. Service Overview

Pastok provides an AI-powered platform that enables users to intelligently manage, search, analyze, and interact with their digital information and content from various sources, such as emails, calendar entries, notes, and other personal data, to enhance productivity and organization.

2. Eligibility

You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 16 years old; (b) you have not been previously suspended or removed from the Service; and (c) your use of the Service complies with all applicable laws and regulations. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

3. Accounts and Registration

To access certain features of the Service, you may need to create an account. You agree to provide accurate and up-to-date information during registration and to maintain its accuracy. You are solely responsible for safeguarding your account login credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

4. Payment Terms

Some features of the Service may require payment. Before incurring any fees, you will be presented with the applicable charges. All fees are generally non-refundable, except as stated in these Terms.

4.1 Subscription Service

Pastok may offer subscription plans with recurring payments ("Subscription Service"). By activating a Subscription Service, you authorize Pastok or its third-party payment processors to charge your selected payment method for the applicable fees and taxes.

Free Trial. We may offer a free trial period of fourteen (14) days for new subscribers ("Free Trial"). During the Free Trial, you will have full access to the Pro subscription tier at no charge. To avoid being charged, you must cancel at least 24 hours before the Free Trial ends via your Apple ID subscription settings. If you do not cancel, your subscription will automatically convert to a paid plan at the applicable rate. Any unused portion of a Free Trial is forfeited upon purchase of a subscription plan. We reserve the right to modify or discontinue Free Trial offers at any time.

Apple App Store. Subscriptions purchased via the Apple App Store are charged to your Apple ID at confirmation of purchase. Your subscription will automatically renew, and your account will be charged within 24 hours prior to the end of the current billing period, unless canceled at least 24 hours before then in your Apple ID subscription settings. You can manage or cancel your subscription at any time via your device's App Store account settings. Refunds are managed exclusively by Apple; you agree that we may share your service usage data with Apple to assist in refund validation and fraud prevention. All transactions are governed by Apple's Terms and Conditions and Privacy Policy.

4.2 Credits

Pastok offers in-app credits ("Credits") that can be used to access certain features within the Service, including AI Chat, custom Skills, and enhanced search. Credits come in two forms:

• Subscription Credits are included with your Pro or Ultra subscription plan and are refreshed at the start of each billing cycle. Unused Subscription Credits do not roll over and expire at the end of each billing period. Subscription Credits are forfeited upon cancellation or termination of your subscription.
• Purchased Credits are acquired through one-time in-app purchases via Apple In-App Purchase. Purchased Credits do not expire and remain available for use as long as your account is active, regardless of your subscription status.

Order of consumption. When you use a feature that requires Credits, Subscription Credits are consumed before Purchased Credits.

Credit consumption rates. Credits are consumed at rates that vary by feature, as determined by Pastok. We reserve the right to adjust credit consumption rates with reasonable advance notice.

Non-refundable. All Credits, once consumed, are non-refundable. Credit purchases are final. For subscription refunds, any Subscription Credits consumed prior to the effective date of cancellation or refund are not subject to reimbursement, regardless of the refund amount granted for the underlying subscription fee. Refunds for subscriptions and in-app purchases are managed by Apple in accordance with its policies.

Account termination. Upon deletion or termination of your account, all remaining Credits— both Subscription and Purchased—will be permanently forfeited with no right to refund or compensation. We recommend using your Credits before deleting your account.

4.3 Price Changes

We reserve the right to modify subscription fees and Credit package prices at any time. For subscription price changes, we will provide reasonable advance notice, and changes will apply at the end of your current billing cycle. For Credit package price changes, new prices take effect upon posting. Previously purchased Credits are not affected by price changes. Your continued use of the Service after a price change constitutes your acceptance of the new fees.

5. Licenses and Ownership

5.1 Limited License

Subject to your compliance with these Terms, Pastok grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use our applications and access the Service solely for your personal, non-commercial use.

Apple Standard EULA: If you download and use our application from the Apple App Store, your use of the application is governed by Apple’s Licensed Application End User License Agreement (Standard EULA), which is incorporated herein by reference. In the event of any conflict between these Terms and the Standard EULA regarding your license to use the iOS application, the Standard EULA shall control. You and Pastok acknowledge that Apple is not a party to these Terms and has no obligation to provide maintenance or support for the Service.

5.2 License Restrictions

You may not: (a) reproduce, distribute, publicly display, or create derivative works of the Service; (b) modify, reverse engineer, decompile, or attempt to derive the source code of the Service; or (c) interfere with or circumvent any Service features, including security mechanisms.

5.3 Feedback

If you provide Pastok with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use and exploit such Feedback for any purpose without attribution or compensation.

5.4 Ownership

The Service, including all software, code, designs, graphics, and other materials ("Materials"), is owned by Pastok or its licensors and is protected by intellectual property laws. All rights not expressly granted to you in these Terms are reserved by Pastok.

6. User Content

6.1 Provision and Collection of User Content

All data, information, text, files, and other content you upload, submit, post, or otherwise provide to the Service, or that is collected from your devices or applications by the Service (collectively, "User Content"), is subject to these Terms. You represent and warrant that you have all necessary rights and consents to provide your User Content to the Service and for Pastok to collect, store, process, and use it as described herein, without violating any third-party rights or applicable laws.

6.2 Use of User Content

Your User Content remains your property or the property of your licensors. You understand and agree that by using the Service, you authorize and consent to Pastok's access, collection, storage, modification, creation of derivatives, use, and/or disclosure of your User Content as described in these Terms and our Privacy Policy. Pastok may use your User Content to provide, operate, maintain, improve, and administer the Service, and to perform its obligations under these Terms.

Specific limitations and default retention periods for certain types of User Content are defined in our Privacy Policy. We will only use such content beyond these default limits for purposes like service improvement if you provide separate, explicit consent.

6.3 Privacy

We strive to protect the privacy and security of your User Content in accordance with these Terms and our Privacy Policy. Please review our Privacy Policy for detailed information on our data collection, use, storage, and disclosure practices.

7. Third-Party Services

The Service may integrate with or contain links to third-party applications or services. Pastok is not responsible for the content, operation, or functionality of such third-party services, nor for their use of any information you choose to share with them.

8. Prohibited Conduct

You agree not to use the Service for any illegal purpose or in a manner that:

• Violates any local, state, national, or international law.
• Harms, threatens, or harasses any person.
• Infringes or misappropriates any third-party intellectual property or privacy rights.
• Interferes with the security or operation of the Service.
• Uploads or disseminates malicious code (viruses, spyware, etc.).
• Engages in fraudulent activity, impersonation, or unauthorized account access.
• Sells or transfers access to the Service or its Materials without permission.
• Collects personal information about others without consent.

9. Modification of Terms

We may update these Terms periodically. Revisions will be effective immediately upon posting, except for material revisions to existing users, which will be effective 30 days after posting or notice. Your continued use of the Service after changes constitutes your acceptance of the revised Terms. If you do not agree, you must discontinue using the Service.

10. Term and Termination

These Terms are effective when you accept them and remain in effect until terminated. We may terminate these Terms or your account at our sole discretion, with or without notice, for any reason, including your violation of these Terms. You may terminate your account by using the deletion option within the App settings or contacting [email protected].

Important regarding Subscriptions: Deleting your account or uninstalling the app DOES NOT automatically cancel your subscription. You must cancel your subscription via your Apple ID settings to stop future charges. If you verify deletion without canceling, you may continue to be charged by Apple. We recommend canceling your subscription and allowing the billing cycle to expire before deleting your account.

Upon termination, your license rights will cease, you must stop using the Service, and any unpaid amounts due will become immediately payable.

11. Disclaimers

The service and all materials and content are provided "as is" and "as available" without warranties of any kind, whether express or implied. Pastok disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that any AI-generated content (including summaries or chat interactions) will be completely accurate or reliable. You use the service at your own discretion and risk, and we are not responsible for any damage to your devices or loss of data, including user content.

12. Limitation of Liability

To the fullest extent permitted by law, Pastok and its affiliates, officers, directors, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, goodwill, or data) arising from your use or inability to use Pastok, any materials or content, or these Terms, regardless of the legal theory.

Our total aggregate liability to you for all claims arising from or related to Pastok or these Terms, whether in contract, tort, or otherwise, will be limited to the greater of (a) the amount you paid to Pastok for use of the Service in the 12 months prior to the event giving rise to the claim, or (b) US$100 .

13. Indemnification

You agree to indemnify, defend, and hold harmless Pastok Entities from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your: (a) unauthorized use of the Service; (b) violation of these Terms; (c) violation of any third-party rights; or (d) any dispute between you and a third party.

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. This may include adding, removing, or altering features, functionalities, or user access. We are not liable to you or any third party for any such modification, suspension, or discontinuance of the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service will be resolved exclusively in the courts located in Singapore.

16. General Provisions

16.1 Entire Agreement

These Terms, including our Privacy Policy and any other terms incorporated by reference, constitute the entire agreement between you and Pastok regarding the Service.

16.2 Electronic Communications

By using the Service, you consent to receive electronic communications from us as described in our Privacy Policy. You agree that electronic notices satisfy any legal communication requirements.
